1. About These Terms
These Terms of Service ("Terms") govern your use of the FlowFicient Ltd website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. FlowFicient Ltd ("FlowFicient", "we", "us") is a technology consulting company based in the United Kingdom. For queries regarding these Terms, contact us at Enquiries@flowficient.net.
2. Our Services
FlowFicient provides the following technology consulting services:
- Website Design: design, development, and deployment of websites and web applications
- Customer Relationship Management (CRM) Integration: configuration, customisation, and integration of customer relationship management systems
- Agentic Workflow Automation: design and deployment of AI-driven autonomous processes and workflow systems
The scope of services for each engagement will be agreed in a separate Statement of Work or project proposal, which forms part of the contract between us.
3. Engagement and Proposals
All projects commence upon acceptance of a written proposal or Statement of Work. Proposals are valid for 30 days from the date of issue. Commencement of a project is subject to receipt of any agreed deposit. We reserve the right to decline to provide services at our discretion.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete, and timely information, materials, and access as reasonably required
- Appoint a suitable contact who has authority to make decisions on your behalf
- Review and provide feedback on deliverables within agreed timeframes
- Ensure that any content, data, or materials you supply to us do not infringe third-party intellectual property rights
- Maintain appropriate backups of your data and systems prior to any integration or automation work
5. Intellectual Property
Upon receipt of full payment, and unless otherwise agreed in writing, you will own the intellectual property rights in the final deliverables created specifically for your project. FlowFicient retains ownership of:
- All pre-existing intellectual property, tools, frameworks, and methodologies used in delivering your project
- Any general-purpose code libraries, components, or AI models developed independently of your project
- The right to use non-confidential aspects of the work in our portfolio
You grant FlowFicient a licence to use any materials you provide solely for the purpose of delivering your project.
6. AI-Generated Content and Agentic Systems
Where our services involve AI-generated content or agentic automation systems, you acknowledge that:
- AI outputs may require human review before use in regulated or high-risk contexts
- You are responsible for reviewing and approving AI-generated content before publication or operational deployment
- FlowFicient does not warrant that AI-generated outputs are free from error, bias, or inaccuracy
- You must comply with all applicable laws regarding AI use in your jurisdiction, including the EU AI Act where applicable
7. Payment Terms
Payment terms will be specified in your project proposal. Unless otherwise agreed:
- A deposit of 50% is required prior to commencement of work
- The remaining balance is due upon project completion and before final delivery
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
8. Revisions and Change Requests
Each project proposal will specify an agreed number of revision rounds. Additional revisions, changes to scope, or requests that fall outside the original brief may be subject to additional charges, which we will communicate to you in writing before proceeding.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the contract for a period of 3 years. Confidential information does not include information that is publicly available, already known to the receiving party, or required to be disclosed by law.
10. Data Protection
Each party agrees to comply with applicable data protection laws, including UK GDPR and the Data Protection Act 2018. Where FlowFicient processes personal data on your behalf as a data processor, a Data Processing Agreement will be entered into. Please refer to our Privacy Policy for further information on how we handle personal data.
11. Limitation of Liability
To the fullest extent permitted by law, FlowFicient's total liability to you in connection with any project or these Terms shall not exceed the total fees paid by you for the specific project giving rise to the claim. We shall not be liable for:
- Loss of profits, revenue, or anticipated savings
- Loss or corruption of data
- Indirect, consequential, or special loss
- Business interruption
Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under English law.
12. Warranties and Disclaimers
FlowFicient warrants that our services will be performed with reasonable care and skill. We do not warrant that our services will be uninterrupted or error-free. Our website and its content are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the website will be free from viruses or other harmful code.
13. Term and Termination
If you have signed a Services Agreement or Statement of Work with us, anything in it that differs from this section takes priority.
13.1 Packages (Launch, Growth and Overhaul). Packages run for a minimum term of 12 months from the date your site goes live.
- After the minimum term: your package continues month to month until either of us gives 30 days' written notice. We will email you at least 30 days before your minimum term ends to remind you of this.
- Ending early: if you end a package during the minimum term, the monthly fees for the remainder of the minimum term become payable.
- When a package ends: once all invoices are paid, we will provide your site files and content so you can move them to another provider.
13.2 One-off builds. Either party may end a one-off build by giving 14 days' written notice. You will pay for all work completed up to the end of the notice period, on a pro-rata basis.
13.3 Ending for breach. Either party may end any engagement immediately by written notice if the other commits a material breach of these Terms and does not fix it within 7 days of being asked to in writing. Either party may also end an engagement immediately if the other becomes insolvent.
14. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. We will first try to resolve any dispute through good-faith discussion. If a dispute cannot be resolved that way, the courts of England and Wales have exclusive jurisdiction.
15. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on our website. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
